RAWX China Terms and Conditions Agreement

Please read this Terms and Conditions Agreement carefully before using this website. By using the RAWX website, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, please do not use the RAWX website. If options for “Agree” or “Disagree” are available, please select “Disagree”.
 
These Terms of Use (the “Terms of Use”) apply to the website of RAWX Apparel Co., Ltd. located at https://www.rawxpro.com, including all global RAWX sites (collectively, the “Website”). The Website is the property of RAWX Apparel Co., Ltd. (“RAWX”) and may be operated by affiliated entities under license.
 
By accessing or using the Website, you acknowledge that you have read, understood, and agreed to comply with these Terms of Use. If you do not agree, please do not use the Website.
 
RAWX reserves the right, in its sole and absolute discretion, to change, modify, add to, or remove portions of these Terms of Use at any time. It is your responsibility to review these Terms of Use periodically for changes. Your continued use of the Website following the posting of changes will constitute your acceptance of and agreement to such changes.
 
Subject to your compliance with these Terms of Use, RAWX grants you a personal, non-exclusive, non-transferable, limited privilege to access and use the Website.
 
RAWX may freely assign its rights and obligations under this Agreement to any of its global affiliated entities or any subsidiary of the RAWX Group.
 
This Agreement is a legally binding contract governing the purchase and sale of all products and services via the Website. We recommend that you download and retain a copy of this Agreement for your records.

Exclusive Jurisdiction Agreement

By purchasing products and services from RAWX, the customer acknowledges and agrees that all contracts and transactions shall be governed exclusively by the laws of the People’s Republic of China. The customer expressly waives the right to initiate legal proceedings against RAWX in any jurisdiction outside of China. The customer agrees that the sole and exclusive jurisdiction for resolving any disputes relating to the purchase of products or services shall be the courts located in Shaxi Town, Zhongshan, China. The applicable language for any legal matters shall be Chinese.
 
If any provision of this Agreement or any part thereof is found to be unenforceable by a court of competent jurisdiction, the remainder of the Agreement shall remain in full force and effect.

Preliminary Dispute Resolution

If you have any questions or concerns regarding our services, please contact us at info@rawxpro.com. Most issues can be resolved promptly in this manner. You and RAWX agree to use good-faith, informal negotiations to resolve any dispute, claim, or disagreement before initiating any lawsuit or arbitration.

Waiver of Class Action

All claims and disputes must be resolved individually, not as part of a class, consolidated, or representative proceeding. Claims by multiple customers or users may not be arbitrated, litigated, or consolidated with those of any other individual.
 

**Contractual Terms and Conditions Agreement**

**I. Introduction**

This document constitutes the official terms and conditions governing products and services provided by RAWX Apparel Co., Ltd. (hereinafter referred to as “RAWX”). By submitting an inquiry or placing an order with RAWX, the customer fully agrees to these terms. The customer may review the latest version of the terms on this page at any time. RAWX reserves the right to amend these General Sales Terms at any time without prior notice and without obligation to post such changes on the website.
 
RAWX shall not be liable for any issues arising from the unavailability of the website, regardless of duration, and reserves the right to restrict partial access for technical or legal reasons.
 
By accessing or using the services, you agree to be bound by these terms. These terms apply to all visitors, users, and others who access or use the services. If you disagree with any part of the terms, you may not use the services.

**II. Governing Law**

This Agreement and its enforcement shall be governed by the Exclusive Jurisdiction Agreement set forth above and construed in accordance with the laws of China.

**III. Product Information**

RAWX operates a B2B apparel customization website at https://www.rawxpro.com. The website is dedicated to providing custom manufacturing services for B2B customers. All products are made-to-order on a B2B basis and are not sold to end consumers.

**IV. Payment Terms**

Sample Orders: Full advance payment is required.

Bulk Orders: A 70% deposit is required to initiate the production process. Production shall be suspended if payment is delayed beyond the deposit due date. The remaining 30% balance, based on the final invoice, must be paid prior to shipment. If the customer fails to pay the balance within one month from the date of receiving the final invoice, the goods shall be deemed abandoned by the customer, and RAWX reserves the right to dispose of the goods at its sole discretion.

Logistics Services: Full payment is required prior to shipment.

**V. Shipping Terms**

All risks and liabilities related to shipment shall be borne by the customer. Once the goods are delivered to a third-party carrier, RAWX shall no longer be liable for any fees, losses, delays, or customs issues.
 
The customer may choose to use a third-party carrier cooperating with RAWX or select an alternative carrier at their own discretion.

**VI. Production and Delivery Timelines**

All timelines provided by RAWX are estimates for reference only. Actual delivery times may vary due to the complexity of the production process and involvement of multiple third-party partners. While we strive to meet the expected schedule, RAWX shall not be liable for any delays beyond our reasonable control.

**VII. Global Supply Chain Disclaimer**

Due to ongoing instability in the global supply chain, delays or shortages may occur in parts of the production chain. RAWX shall not be liable for any related delays or losses.

**VIII. Refund and Claims Policy**

Samples: Non-refundable. The customer may request photos for confirmation prior to shipment. In the event of quality issues, we will resolve the matter through negotiation.

Bulk Orders: The initial 70% deposit may be refunded within three business days of receipt if RAWX has not incurred any costs on the customer’s behalf. If raw material procurement or production has commenced, the customer may apply to cancel the order but shall be charged for all costs incurred, including but not limited to pre-production samples, fabrics, and related expenses. Cancellation is not permitted once the order enters cutting or subsequent production stages, and payments shall be non-refundable.

**VIII.Confidentiality Notice**

All information disclosed by RAWX, including trade secrets and business plans, is confidential. Unauthorized disclosure may result in termination of the business relationship and potential legal action.

**X. Quality Assurance**

RAWX shall not be liable for errors or defects caused by the customer providing incomplete or inaccurate information. The customer is responsible for thoroughly reviewing and verifying all submitted materials prior to ordering to prevent such errors.

**XI. Modifications to Ongoing Production**

For bulk production, the customer may request modifications to the original order. RAWX shall use reasonable efforts to accommodate such requests; however, any changes may result in delays or additional costs. RAWX shall not be liable for any such delays or costs.
 
It is strongly recommended that the customer finalize all requirements prior to the start of production. If change requests are submitted during production, RAWX will evaluate them on a case-by-case basis and notify the customer of any applicable fees or timeline adjustments.

**XII. Inflation Disclaimer**

For orders with a lead time exceeding three months, please note that all prices, fees, and financial estimates provided by RAWX may be adjusted due to inflation or other economic factors. Inflation may affect the purchasing power of currency, which in turn impacts the actual cost and pricing of goods and services.
 
While we strive to provide accurate and up-to-date pricing information, future prices are not guaranteed to remain the same as quoted at the time of ordering. Customers are advised to plan and budget for potential economic fluctuations.
 
RAWX shall not be liable for price changes resulting from increases in raw material costs or changes in market conditions.
